SETUP NOTE (remove before publishing): This is a general-purpose template, not legal advice. Because the Service both processes payments and books wellness services involving a pressurized chamber, it sits at the intersection of payments law (state money transmitter licensing, EFTA/Regulation E, GLBA, PCI-DSS, card network rules) and wellness/health-service law (informed consent, premises liability, state cottage-facility or spa regulations). Before use with real customers, this document — and the bracketed placeholders — must be reviewed by an attorney experienced in U.S. payments/fintech law and, separately, by counsel familiar with wellness-facility liability, together with your payment processor/sponsor bank and each Provider. This template assumes TimeWorld (a) routes payments to Providers through a third-party, licensed payment processor without holding customer funds as principal, and (b) does not itself operate the chambers or supervise sessions — confirm both assumptions match your actual business before use, and adjust Sections 1 and 12 if TimeWorld operates any location directly. |
PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER (SECTION 22), AN ASSUMPTION OF RISK FOR HYPERBARIC CHAMBER USE (SECTION 12), AND IMPORTANT DISCLAIMERS AND LIMITATIONS ON TIMEWORLD'S LIABILITY (SECTIONS 16–17).
These Terms of Use (“Terms”) form a binding legal agreement between you (“you” or “User”) and [TimeWorld, Inc.], a [State] corporation with its principal place of business at [Company Address] (“TimeWorld,” “we,” “us,” or “our”). These Terms govern your access to and use of the TimeWorld mobile application, website, and related services (collectively, the “Service”), which let you find, reserve, and pay for mild hyperbaric oxygen wellness sessions offered by independent, third-party wellness studios and operators (each, a “Provider”) using a credit card, debit card, or bank account linked to your TimeWorld account (each, a “Payment Method”).
By creating a TimeWorld account, clicking “I Agree,” or using the Service, you accept these Terms and our Privacy Policy, available at [Privacy Policy URL], which is incorporated into these Terms by reference. If you do not agree, do not use the Service.
TimeWorld operates a booking and payment platform that lets you search for participating Providers, reserve a time slot for a mild hyperbaric oxygen wellness session (a “Session”), and pay for that Session through the Service (each payment, a “Transaction”). Unless a specific Provider location is expressly identified in the app as operated by TimeWorld itself, Providers are independent, third-party businesses — not employees, agents, or franchisees of TimeWorld — responsible for operating their own chambers and delivering the Session.
Sessions booked through the Service are generally conducted in wellness-grade (non-medical) hyperbaric chambers pressurized to a maximum of approximately 1.3 ATA (atmospheres absolute) with supplemental oxygen. These chambers are not medical devices, are not cleared or approved by the U.S. Food and Drug Administration to diagnose, treat, cure, mitigate, or prevent any disease, and Sessions are not supervised by a physician unless the specific Provider states otherwise. See Section 12 (Health, Safety & Assumption of Risk) for important information you must read before booking.
Transactions are processed through [Name of Licensed Payment Processor / Sponsor Bank], a third-party payment processor (the “Processor”) licensed and regulated to handle payment transactions. TimeWorld routes your payment instructions to the Processor and, unless expressly stated otherwise at the time of a Transaction, does not itself take custody of your funds as principal, does not hold a stored balance on your behalf, and is not a bank. Funds are not insured by the FDIC or any other deposit insurer unless expressly stated otherwise.
To use the Service, you must: (a) be at least 18 years old, or use the Service through a parent or legal guardian who books and completes all required consents on your behalf; (b) be a legal resident of the United States with a valid U.S. address; (c) have the legal capacity to enter into a binding contract; (d) not be barred from using the Service under applicable law, including U.S. sanctions and export control laws administered by OFAC; and (e) provide accurate, current, and complete registration information. TimeWorld may refuse to open, or may close, an account for any lawful reason, including a failed identity-verification check.
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not authorized by you, except as limited by Section 11 (Unauthorized Transactions). You agree to notify us immediately at [Support Email] or [Support Phone] if you suspect unauthorized use of your account or a lost or stolen device or Payment Method.
We may use identity verification services, and may request additional information (such as a government-issued ID) to comply with our legal obligations, including federal know-your-customer (KYC) and anti-money-laundering (AML) requirements applicable to TimeWorld or the Processor.
When you link a Payment Method to your TimeWorld account, you represent and warrant that you are the authorized holder of that Payment Method, or that you have the account holder's permission to use it, and that all information you provide is accurate.
By linking a bank account and booking a Session funded from that account, you authorize TimeWorld and the Processor to initiate one or more debit entries (and, if necessary, credit entries to correct errors) to that account via the Automated Clearing House (ACH) network or other applicable payment network, in accordance with NACHA rules and applicable law. By linking a credit or debit card, you authorize TimeWorld and the Processor to charge that card for each Transaction you initiate, including deposits, session-package purchases, cancellation or no-show fees described in Section 7, and, where applicable, recurring membership charges described in Section 8.
You may revoke authorization for future Transactions at any time by removing the applicable Payment Method in the app or contacting [Support Email], but revocation does not affect Transactions already submitted for processing and does not cancel an existing reservation, membership, or package on your behalf — you must separately cancel those as described in Sections 7 and 8.
When you book a Session, the Service will show you the Provider, location, date, time, duration, and price before you confirm. Once you confirm and payment is authorized, you will receive a booking confirmation; a Session is not reserved until you receive that confirmation. Availability is set and controlled by each Provider, and TimeWorld does not guarantee that a specific time slot, chamber, or Provider will remain available.
You are responsible for arriving on time and for meeting the Provider's own check-in, screening, and safety requirements (including completing any Provider intake or consent form, as described in Section 12). A Provider may decline to administer a Session, including for a safety reason disclosed at check-in, even after your payment has been authorized; in that case, the applicable amount will be refunded or credited to you under Section 10.
Session prices are set by each Provider and displayed in the app before you confirm a booking. TimeWorld may also charge its own service fee, booking fee, or subscription fee for use of the Service, as disclosed to you in the app or at [Fees Page URL] before you complete a Transaction. We will provide advance notice, as described in Section 21 (Changes to These Terms), before increasing existing TimeWorld fees or introducing new recurring TimeWorld fees; a Provider may change its own Session pricing at any time, effective for bookings made after the change. Your Payment Method issuer or financial institution may also separately charge you fees (for example, a foreign-transaction fee or overdraft fee); TimeWorld is not responsible for those third-party fees.
Unless the app states otherwise for a specific Provider or promotion, full payment for a Session is authorized and captured at the time you confirm your booking.
Each Provider sets its own cancellation and rescheduling policy, which will be shown in the app before you confirm a booking. As a general default, unless a Provider's posted policy states otherwise:
• Cancellations made at least [24] hours before your scheduled Session time are eligible for a full refund or, at your choice, a credit toward a future booking.
• Cancellations made less than [24] hours before your scheduled Session time, and no-shows, may be charged a cancellation or no-show fee of up to the full Session price, at the Provider's discretion.
• A Provider may reschedule or cancel a Session for its own operational or safety reasons (including equipment maintenance or a screening concern under Section 12); in that case you will be offered a full refund or a rebooking at no additional charge.
You can cancel or reschedule a booking in the app up until the applicable cutoff shown for that booking. TimeWorld processes cancellation-related refunds and fees on the Provider's behalf but does not independently set, and cannot waive, a Provider's cancellation policy except where TimeWorld itself is the Provider.
The Service may let you purchase a bundle of prepaid Session credits (a “Package”) or enroll in a recurring membership plan (a “Membership”) offered by a Provider or by TimeWorld. Package credits are non-transferable between users, may only be redeemed with the Provider (or TimeWorld network of Providers) that issued them, and expire [12] months after purchase unless the Provider's posted terms state a different period or a longer period is required by applicable state gift-card or prepaid-credit law.
If you enroll in a Membership, you authorize TimeWorld to automatically charge your Payment Method on each renewal date shown at sign-up (for example, monthly or annually) until you cancel.
AUTO-RENEWAL DISCLOSURE: Your Membership will automatically renew and your Payment Method will automatically be charged at the then-current price at the start of each renewal period, unless you cancel before the renewal date. You can cancel a Membership at any time in the app under Account Settings, or by contacting [Support Email]; cancellation takes effect at the end of the then-current billing period, and TimeWorld will send a confirmation once your cancellation is processed. We will notify you in advance of any price increase to a Membership as described in Section 21.
Package credits and Membership benefits have no cash value, are not redeemable for cash except where required by law, and are forfeited if your account is closed for a violation of Section 13 (Prohibited Uses).
Each Session you book is a service provided by the Provider, not by TimeWorld (except where the app expressly identifies TimeWorld as the operator of a specific location). TimeWorld does not own, operate, staff, inspect, or supervise Provider chambers or premises (other than any location it expressly operates itself), and is not responsible for a Provider's equipment, staff training or certification, facility conditions, or compliance with health, safety, or licensing requirements applicable to that Provider's business.
Any dispute about the quality, safety, or performance of a Session — including an injury or adverse reaction — is first and primarily a matter between you and the Provider, and, where applicable, is addressed under the separate informed consent and liability waiver you complete with that Provider, described in Section 12. TimeWorld may, at its discretion, help facilitate communication with a Provider, but is not obligated to resolve, and does not guarantee resolution of, Provider-related disputes.
Refunds for cancellations are handled as described in Section 7. Where a refund is due, TimeWorld will process it back to the original Payment Method where technically possible; refund timing depends on your financial institution and may take [5–10] business days to appear.
If you believe a Transaction was billed incorrectly and neither the Provider nor TimeWorld will resolve it, you may be entitled to dispute the charge directly with your card issuer or bank (a “chargeback”) under applicable card network rules, Regulation Z, or Regulation E, as described in Section 11. TimeWorld may request supporting documentation from you or the Provider in connection with a chargeback, and reserves the right to recover funds or fees resulting from an unwarranted chargeback from your account or a linked Payment Method to the extent permitted by law.
Contact us immediately at [Support Email] or [Support Phone] if you believe: (a) a Transaction was made without your authorization; (b) your Payment Method or credentials have been lost, stolen, or compromised; or (c) a Transaction was processed incorrectly (an “Error”). Prompt reporting helps limit your potential liability and allows us to investigate.
For Transactions funded by a linked bank account, our error-resolution procedures follow Regulation E (12 C.F.R. Part 1005): if you notify us within 60 days of the date the alleged Error appeared on your statement, we will investigate and, for most Errors, provide you with the results within 10 business days (or up to 45 days for certain Errors, during which we may provisionally credit your account). Your liability for an unauthorized bank-account Transaction may range from $50 to the full amount of the transfer, depending on how quickly you notify us, as further described in our Regulation E disclosure provided at account opening.
For Transactions funded by a credit card, your rights are generally governed by the Fair Credit Billing Act and your cardholder agreement with your card issuer, and your maximum liability for an unauthorized charge is typically $50 under federal law (often $0 under your card network's own policies). For Transactions funded by a debit card, Regulation E liability limits apply similarly to bank-account transfers.
TimeWorld is a booking and payment platform. TimeWorld is not a medical provider, does not practice medicine, and does not supervise, screen, or provide medical advice about your fitness for a Session — that responsibility belongs to the Provider you book with, and to you.
Mild hyperbaric oxygen sessions, even at the low pressures (approximately 1.3 ATA) and oxygen concentrations typically used by wellness-grade chambers, carry inherent risks. Commonly reported effects include ear or sinus pressure, fullness, or pain during pressure changes; headache; nausea or lightheadedness; and fatigue. Less common risks include ear or sinus barotrauma, temporary vision changes with frequent use, claustrophobia or anxiety reactions, and, rarely, oxygen-related symptoms. This is a summary only; a complete list of risks, contraindications, and safety precautions will be provided to you in the Provider's own informed consent and liability waiver.
Before your first Session with a Provider, you will be required to review and sign that Provider's separate informed consent and liability waiver, either in the app or in person at the Provider's location. Booking and paying for a Session through TimeWorld does not replace, and is not a substitute for, that waiver — you must still complete it, and the Provider may decline to admit you to a Session if you have not done so.
You are solely responsible for evaluating whether a Session is appropriate for your health condition, and for disclosing relevant medical information to the Provider, including any condition that may make hyperbaric exposure unsafe for you (such as pregnancy, certain lung conditions, recent ear surgery, or a seizure disorder). If you have a medical condition, you should consult a physician before booking a Session. You assume all risk of participating in a Session, to the extent permitted by applicable law, and TimeWorld's role is limited to facilitating your reservation and payment.
You agree not to use the Service to:
• Violate any applicable law or regulation, or use the Service for any unlawful purpose;
• Provide false or misleading health, identity, registration, or Transaction information, including to circumvent a Provider's safety screening;
• Use a Payment Method you are not authorized to use;
• Engage in fraud, including chargeback fraud or booking fraud (such as repeated no-shows intended to abuse a cancellation policy), or attempt to circumvent our fraud-prevention or identity-verification measures;
• Resell, transfer for value, or share access to a Package or Membership in violation of the Provider's or TimeWorld's posted terms;
• Interfere with, disrupt, reverse-engineer, or gain unauthorized access to the Service or its underlying systems; or
• Use the Service on behalf of a minor except as permitted in Section 2, or otherwise in violation of the eligibility requirements in Section 2.
We may suspend or terminate your account, decline or reverse a Transaction, cancel a booking, and/or report suspected illegal activity to law enforcement or regulators if we reasonably believe you have violated this Section.
By using the Service, you consent to receive booking confirmations, Transaction receipts, account notices, and required legal disclosures (including error-resolution notices and any Regulation E disclosures) electronically, through the app, email, or SMS, rather than in paper form. You may withdraw this consent by contacting [Support Email], though we may be unable to continue providing the Service to you if you do.
If you provide a mobile number, you consent to receive booking-related and, if you opt in, promotional text messages from TimeWorld, which may be sent using automated technology. Message and data rates may apply. Consent to promotional messages is not a condition of using the Service; you can opt out at any time by replying STOP.
TimeWorld and its licensors own all right, title, and interest in the Service, including all associated software, trademarks, and content, other than content you submit or Provider content. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, distribute, sell, lease, or reverse-engineer any part of the Service except as permitted by law.
Our collection and use of your personal, health-related, and financial information is described in our Privacy Policy at [Privacy Policy URL]. Because TimeWorld both processes payments and facilitates wellness bookings, certain information may be shared with the Processor, our sponsor bank, the Provider you book with, and other service providers as necessary to process Transactions, complete your reservation, verify your identity, prevent fraud, and comply with law, consistent with the Gramm-Leach-Bliley Act and other applicable privacy laws. Health information you provide to a Provider as part of its own intake or consent process is governed by that Provider's privacy practices, not by TimeWorld.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TIMEWORLD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PROVIDER WILL FULFILL ITS OBLIGATIONS TO YOU OR OPERATE ITS CHAMBER SAFELY. TIMEWORLD DOES NOT PROVIDE MEDICAL ADVICE, AND NOTHING IN THE SERVICE IS A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIMEWORLD AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR A SESSION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WITHOUT LIMITING SECTION 12, TIMEWORLD IS NOT LIABLE FOR ANY INJURY, ILLNESS, OR LOSS ARISING FROM YOUR PARTICIPATION IN A SESSION OR FROM A PROVIDER'S ACTS OR OMISSIONS, WHICH ARE GOVERNED BY YOUR SEPARATE AGREEMENT WITH THAT PROVIDER. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIMEWORLD'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO TIMEWORLD (EXCLUDING AMOUNTS PASSED THROUGH TO A PROVIDER) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100. THIS LIMITATION DOES NOT APPLY TO TIMEWORLD'S OBLIGATIONS UNDER REGULATION E OR OTHER CONSUMER-PROTECTION LAWS THAT CANNOT BE LIMITED BY CONTRACT, OR TO LIABILITY FOR TIMEWORLD'S GROSS NEGLIGENCE, FRAUD, OR WILLFUL MISCONDUCT.
You agree to indemnify, defend, and hold harmless TimeWorld and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your breach of these Terms; (b) your use of the Service in violation of applicable law; (c) a Transaction or booking you authorized; or (d) your violation of any third party's rights, except to the extent caused by TimeWorld's own breach of these Terms, gross negligence, or willful misconduct.
You may close your account at any time by contacting [Support Email], subject to settlement of any pending Transactions, bookings, or amounts owed. We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, if we reasonably believe you have violated these Terms, to comply with law or a request from a regulator or law-enforcement authority, to protect the Service or other users from fraud or safety risks, or as otherwise permitted by applicable law. Sections that by their nature should survive termination (including Sections 9, 11 [as to Transactions before termination], 12, 15, 17–19, and 22–25) will survive.
We may update these Terms from time to time. If we make a material change, we will notify you by posting a notice in the app, sending an email to the address on file, or another reasonable means, at least [14/30] days before the change takes effect, except where a shorter period is required to comply with law or address a security issue. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms. If you do not agree to a change, you must stop using the Service and may close your account before the change takes effect.
TimeWorld will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disaster, war, terrorism, riot, labor conditions, governmental action, and Internet, network, or payment-system outages.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
You and TimeWorld agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a “Dispute”) will be resolved by binding, individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, rather than in court, except as set out below. This agreement to arbitrate is governed by the Federal Arbitration Act. This Section governs Disputes with TimeWorld about the Service and Transactions; it does not apply to, and does not limit, any separate agreement, waiver, or dispute-resolution provision between you and a Provider.
Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive or other equitable relief in court to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.
YOU AND TIMEWORLD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
You may opt out of this arbitration agreement by sending written notice to [Legal/Opt-Out Address or Email] within 30 days of the date you first agree to these Terms, including your name, address, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other part of these Terms.
The arbitration will be conducted by a single arbitrator and may be conducted by telephone, based on written submissions, or in person in the county where you reside or another mutually agreed location. Each party is responsible for its own attorneys' fees unless the arbitrator awards fees as provided by applicable law or AAA rules. If any part of this Section is found unenforceable, the remainder of this Section will remain in force, except that if the Class Action Waiver in Section 23.3 is found unenforceable as to a particular claim or remedy, that claim or remedy (and only that claim or remedy) must be brought in court, and all other claims remain subject to arbitration.
These Terms are governed by the laws of the State of [Governing Law State], without regard to its conflict-of-laws principles, and by applicable U.S. federal law. Subject to Section 23 (Arbitration), you and TimeWorld agree that any Dispute not subject to arbitration will be brought exclusively in the state or federal courts located in [County, State], and you consent to personal jurisdiction there.
Entire Agreement. These Terms, together with our Privacy Policy and any other agreements expressly referenced here, are the entire agreement between you and TimeWorld regarding the Service, and supersede any prior agreements on this subject. They do not supersede, and are separate from, any informed consent, waiver, or agreement you sign directly with a Provider.
Severability. If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
No Waiver. TimeWorld's failure to enforce any provision of these Terms is not a waiver of its right to do so later.
Assignment. You may not assign or transfer these Terms without our prior written consent. TimeWorld may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.
No Third-Party Beneficiaries. These Terms do not create any rights for a third party, including a Provider.
